Terms of Service

Summary: These terms govern your use of the UIS Health platform. By using our services, you agree to these terms. UIS Health provides dental practice intelligence and automated patient communications.

1. Acceptance of Terms

By accessing or using the UIS Health platform, website (uishealth.com), dashboard (app.uishealth.com), or API (api.uishealth.com), you agree to be bound by these Terms of Service ("Terms"). If you are using the platform on behalf of a dental practice or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

UIS Health, operated by My IT Copilot, LLC, provides a unified intelligence platform for dental practices, including: practice management system (PMS) integration and data synchronization, practice analytics and intelligence dashboards, AI-powered insights and recommendations (Dentamind AI), automated patient communications (SMS, email) via Azure Communication Services, claims tracking and insurance verification, patient risk scoring and outcome gap analysis, waitlist automation and scheduling intelligence, and provider performance analytics.

3. Account Registration

To use our platform, dental practices must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Access to the UIS Health platform requires a paid subscription. Subscription plans, pricing, and features are described on our website or in your service agreement. Payments are processed securely through Stripe. Subscriptions renew automatically unless cancelled prior to the renewal date. Refunds are handled in accordance with your service agreement.

5. HIPAA and Data Privacy

UIS Health operates as a Business Associate under HIPAA. Before processing any Protected Health Information (PHI), a Business Associate Agreement (BAA) must be executed between UIS Health and the dental practice (Covered Entity). The dental practice is responsible for obtaining all necessary patient consents, including consent for electronic communications (SMS, email). Both parties must maintain compliance with HIPAA Privacy Rule, Security Rule, and Breach Notification Rule requirements.

6. SMS Communications

UIS Health sends SMS messages to patients on behalf of dental practices through Azure Communication Services. By enabling SMS features, the dental practice confirms that: appropriate patient consent has been obtained for SMS communications, patients have been informed of their right to opt out by replying STOP, the practice will honor all opt-out requests, and messages will only be sent for legitimate healthcare communication purposes including appointment reminders, recall notifications, treatment follow-ups, and practice communications.

Standard message and data rates may apply. Message frequency varies. Patients can reply STOP to opt out or START to re-subscribe at any time.

7. Acceptable Use

You agree not to: use the platform for any unlawful purpose, transmit any content that is harmful, threatening, abusive, or otherwise objectionable, attempt to gain unauthorized access to any part of the platform, interfere with or disrupt the platform or its servers, use the platform to send unsolicited marketing messages or spam, share your account credentials with unauthorized individuals, reverse engineer, decompile, or disassemble any part of the platform, or use the platform in any way that violates HIPAA or other applicable laws.

8. Intellectual Property

The UIS Health platform, including its software, algorithms, analytics models, user interface, documentation, and all related intellectual property, is owned by My IT Copilot, LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your dental practice operations during the subscription term. You retain ownership of your practice data. We do not claim ownership of PHI or practice-specific data processed through the platform.

9. Data Ownership and Portability

Dental practices retain full ownership of their data, including patient records, appointment data, and practice information. Upon termination of services, we will provide data export capabilities and/or return or destroy PHI as specified in the BAA. De-identified, aggregated data may be retained for platform improvement and analytics benchmarking.

10. Service Availability

We strive to maintain 99.9% uptime for the UIS Health platform. However, we do not guarantee uninterrupted service and may perform scheduled maintenance with reasonable advance notice. We are not liable for service interruptions caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UIS HEALTH AND MY IT COPILOT, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation does not apply to breaches of HIPAA obligations or violations of the BAA.

12. Indemnification

You agree to indemnify, defend, and hold harmless UIS Health and My IT Copilot, LLC from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, your failure to obtain proper patient consents, or your violation of HIPAA or other applicable laws.

13. Termination

Either party may terminate the service agreement with thirty (30) days written notice. We may suspend or terminate your access immediately if you violate these Terms or the BAA. Upon termination, your access to the platform will cease, and PHI will be handled in accordance with the BAA.

14. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes via email to the address associated with your account. Continued use of the platform after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Riverside County, California.
